Terms of Service

These Terms of Service (“Terms”) govern your use of the website and services provided by Shadow Ventures LLC, doing business as Shadow Sites (“we,” “us,” “our”). By engaging our services, you agree to be bound by these Terms.
1. Services We Provide
Shadow Sites offers the following services:

Custom website design and development (strictly custom, no pre-made templates).

Website hosting.

Ongoing website maintenance.

Search Engine Optimization (SEO).

Domain registration.
Annual hosting and maintenance fees are billed automatically via Stripe.
2. Payments & Fees

A 50% upfront deposit is required for all projects. This deposit is non-refundable unless we choose to issue a refund at our discretion.

The remaining balance (“final deposit”) is due upon project completion, prior to launch.

The final deposit may be refundable if the site does not meet agreed-upon expectations. Once a client accepts the site and final payment is made, all payments are final.

We accept payments via credit card, bank transfer, Venmo, or PayPal.

Late Payment Fee: $25 or 15% of the outstanding balance, whichever is greater, will be charged for each month an invoice remains unpaid.
3. Ownership & Intellectual Property

Once the website has been paid in full, the client owns the website files and content.

If hosting or maintenance services are canceled, ownership remains with the client unless there is an unpaid balance. If there is an unpaid balance, we retain ownership of the website until payment is received.

We retain the right to showcase completed projects in our portfolio unless the client requests otherwise in writing.
4. Client Responsibilities

Clients must ensure that all content provided (text, images, videos, etc.) is accurate and that they have the legal right to use it.

We will not create or host content that is illegal, defamatory, or harmful.
5. Limitation of Liability
We are not responsible for any loss of revenue, data, or business opportunities caused by downtime, security breaches, third-party service issues, or other circumstances beyond our control.
6. Termination of Services

We reserve the right to terminate services at our discretion if a client breaches these Terms.

If services are terminated and the project has been paid in full, ownership of the website will be transferred to the client. If the project is not fully paid, ownership remains with Shadow Sites.
7. Governing Law
These Terms are governed by the laws of the State of Ohio, United States.
8. Dispute Resolution
Any disputes shall first be attempted to be resolved through mediation or arbitration before legal action is pursued.
9. Changes to These Terms
We reserve the right to update or modify these Terms at any time without prior notice. Changes will be effective upon posting to our website.
